1. Introduction and Acceptance of Terms

1.1   These Terms of Service ("Terms") govern your use of the Trust Roofing & Remodeling LLC website and your engagement of any services provided by Trust Roofing & Remodeling LLC ("Company," "we," "us," or "our").

1.2   By accessing our website or engaging our services, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our website or engage our services.

1.3   The Company reserves the right to update, modify, or revise these Terms at any time. Any changes will be posted on our website with an updated effective date. Your continued use of the website or engagement of services following any such changes constitutes your acceptance of the revised Terms.

2.1   Trust Roofing & Remodeling LLC is a limited liability company located in Newton, Kansas, and is a registered roofing contractor in the State of Kansas in compliance with applicable state laws and regulations.

3. Description of Services

3.1   The Company provides the following services, subject to availability and geographic coverage:

(a) Roofing installation, repair, and replacement for residential and commercial properties;

(b) Remodeling and home improvement services;

(c) Roof inspections, estimates, and consultations;

(d) Emergency and storm damage repair.

3.2   Services are provided within the greater Newton, Kansas area and surrounding communities. Service area availability may vary depending on project scope and scheduling.

4. Estimates, Quotes, and Proposals

4.1   Estimates are provided free of charge and are considered non-binding unless a written contract or work authorization is executed by both parties.

4.2   Written quotes are valid for thirty (30) days from the date of issuance, unless otherwise stated in writing by the Company.

4.3   Final pricing may vary from the original estimate or quote based on unforeseen site conditions, changes in material costs, or changes to the agreed scope of work.

4.4   A separate written contract or work authorization will govern the specific terms, scope, pricing, and conditions of each individual project.

5. Payment Terms

5.1   Payment schedules, amounts, and methods will be outlined in the individual project contract executed between the Company and the Client for each project.

5.2   Accepted Payment Methods. The Company accepts payment by check, cash, credit or debit card, and electronic funds transfer.

5.3   Late Payments. Payments not received by the due date specified in the project contract may be subject to a finance charge as permitted under Kansas law.

5.4   Suspension of Work. The Company reserves the right to suspend or halt work on a project if payments are not received in accordance with the agreed-upon schedule set forth in the project contract.

5.5   Mechanics' Lien Rights. The Company preserves all mechanics' lien rights as provided under the laws of the State of Kansas, including but not limited to K.S.A. § 60-1101 et seq.

6. Scheduling and Project Timelines

6.1   Project timelines provided by the Company are good faith estimates and may be affected by weather conditions, material availability, permit processing times, subcontractor scheduling, or other factors beyond the Company's reasonable control.

6.2   The Company will communicate any significant delays to the Client promptly and will work diligently to minimize disruption.

6.3   Delays caused by weather, force majeure events, or other circumstances beyond the Company's control shall not constitute a breach of contract.

7. Change Orders

7.1   Any changes, additions, or modifications to the agreed scope of work must be documented in a written change order signed by both the Company and the Client before the additional or modified work is performed.

7.2   Change orders may affect the total project cost, timeline, or both. The Company will provide the Client with a written description of the cost and schedule impact of any proposed change before work proceeds.

7.3   Verbal agreements or informal communications regarding changes to the scope of work are not binding and shall not be relied upon by either party.

8. Permits and Inspections

8.1   The Company will obtain all permits required by local, county, or state authorities for the contracted work, unless otherwise agreed in writing between the parties.

8.2   The Client agrees to provide reasonable access to the property for all inspections required by permitting authorities or building code officials.

8.3   Permit fees are included in the project cost unless stated otherwise in the project contract.

9. Property Access and Site Conditions

9.1   The Client grants Trust Roofing & Remodeling LLC and its employees, agents, and subcontractors reasonable access to the property during the duration of the project for the purpose of performing the contracted work.

9.2   Disclosure of Hazards. The Client is responsible for disclosing any known hazards, structural issues, or environmental concerns prior to the commencement of work, including but not limited to the presence of asbestos, lead paint, mold, or other hazardous materials.

9.3   The Company shall not be liable for damages or additional costs resulting from pre-existing property conditions that were not disclosed by the Client prior to the start of work.

10. Warranties and Guarantees

10.1   Specific workmanship warranties, including their duration and coverage, will be set forth in individual project contracts.

10.2   Where applicable, manufacturer warranties on materials used in the project are passed through to the Client. The Company will provide the Client with relevant manufacturer warranty documentation upon request.

10.3   Warranty Exclusions. Warranties provided by the Company do not cover damage caused by:

(a) Acts of nature, including but not limited to storms, hail, wind, flooding, or earthquakes.

(b) Neglect or failure to perform reasonable maintenance.

(c) Unauthorized modifications, alterations, or repairs performed by parties other than the Company; or

(d) Normal wear and tear.

10.4   All warranty claims must be submitted in writing to the Company at the contact information provided in these Terms.

11. Insurance and Licensing

11.1   Trust Roofing & Remodeling LLC maintains general liability insurance and workers' compensation coverage as required by the laws of the State of Kansas.

11.2   The Company is a registered roofing contractor in the State of Kansas in compliance with the Kansas Roofing Registration Act and all other applicable licensing requirements.

11.3   Proof of insurance and licensing is available upon request by contacting the Company.

12. Limitation of Liability

12.1   To the fullest extent permitted by the laws of the State of Kansas, Trust Roofing & Remodeling LLC's total liability for any claim or series of claims arising out of or related to the services provided shall not exceed the total contract price paid by the Client for the specific project giving rise to the claim.

12.2   In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of use, loss of profits, or loss of data, regardless of the theory of liability.

12.3   The limitations set forth in this Section 12 shall not apply to claims arising from the Company's gross negligence or willful misconduct.

13. Indemnification

13.1   The Client agrees to indemnify, defend, and hold harmless Trust Roofing & Remodeling LLC, its owners, officers, employees, agents, and subcontractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) The Client's failure to disclose known property conditions, hazards, or environmental concerns as described in Section 9;

(b) Unauthorized modifications, alterations, or repairs made to the Company's completed work by the Client or third parties; or

(c) Misuse of the property or the Company's work product following project completion.

14. Cancellation and Termination

14.1   Either party may terminate a project agreement by providing written notice in accordance with the terms and conditions set forth in the individual project contract.

14.2   If the Client cancels a project after work has commenced, the Client shall be responsible for payment for all work completed, materials purchased or ordered, and any non-recoverable costs incurred by the Company as of the date of cancellation.

14.3   Right to Cancel — Door-to-Door Transactions. For contracts resulting from door-to-door sales or transactions conducted at the Client's residence, the Client may have the right to cancel the transaction within three (3) business days of signing the contract, as provided by the Federal Trade Commission's Cooling-Off Rule (16 C.F.R. Part 429). Additionally, the Client's cancellation rights under Kansas consumer protection laws, including K.S.A. § 50-6,120, are preserved and apply as provided by law.

15. Dispute Resolution

15.1   Negotiation. In the event of any dispute arising out of or relating to these Terms or any project contract, the parties agree to first attempt to resolve the dispute through good-faith negotiation.

15.2   Mediation. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the dispute to mediation in Harvey County, Kansas, before a mutually agreed-upon mediator.

15.3   Arbitration or Litigation. If mediation is unsuccessful, the dispute shall be submitted to binding arbitration or resolved in the courts of Harvey County, Kansas, at the election of the initiating party.

15.4   Governing Law. These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict-of-law principles.

16. Website Use

16.1   All content on the Trust Roofing & Remodeling LLC website, including but not limited to text, images, logos, photographs, graphics, and project photos, is the property of the Company and is protected by applicable copyright laws.

16.2   Users may not reproduce, distribute, modify, display, or otherwise use any website content without the prior written permission of the Company.

16.3   The website and its content are provided on an "as is" and "as available" basis. The Company does not warrant that the website will be available without interruption or that the content will be free from errors or omissions.

16.4   The website may contain links to third-party websites. These links are provided for convenience only, and the Company is not responsible for the content, accuracy, or privacy practices of any third-party websites.

17. Intellectual Property

17.1   Trust Roofing & Remodeling LLC retains the right to photograph, video record, or otherwise document completed projects for use in marketing, portfolio, advertising, social media, and other promotional materials.

17.2   If the Client wishes to opt out of the use of their project in the Company's promotional materials, the Client must notify the Company in writing prior to or at the time of entering into a project contract.

18. Force Majeure

18.1   Neither party shall be liable for any delay in performance or failure to perform its obligations under these Terms or any project contract to the extent that such delay or failure is caused by events beyond the party's reasonable control, including but not limited to:

(a) Severe weather, storms, tornadoes, or other natural disasters.

(b) Pandemics, epidemics, or public health emergencies.

(c) Supply chain disruptions or material shortages.

(d) Government actions, orders, regulations, or embargoes.

(e) Labor shortages, strikes, or work stoppages; or

(f) Acts of war, terrorism, civil unrest, or similar events.

18.2   The affected party shall notify the other party promptly of the force majeure event and shall use reasonable efforts to mitigate its effects.

19. Severability

19.1   If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such finding shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

19.2   In the event that any provision is found unenforceable, the parties agree that the court may modify such provision to the minimum extent necessary to make it enforceable, consistent with the intent of these Terms.

20. Entire Agreement

20.1   These Terms, together with any individual project contracts, work authorizations, change orders, and other written agreements between the parties, constitute the entire agreement between the Client and Trust Roofing & Remodeling LLC regarding the subject matter herein.

20.2   These Terms do not supersede the specific terms and conditions of individual project contracts. In the event of a conflict between these Terms and the terms of a specific project contract, the terms of the project contract shall prevail.

20.3   No waiver of any provision of these Terms shall be effective unless made in writing and signed by the Company.
